The Role

The in-house Legal Counsel works directly with the CEO and Senior Managers, managing all relevant corporate and commercial requirements while engaging with internal departments, clients, third parties and the group regional offices.

Responsibilities

  • Manage / advise the company contracting process.
  • Manage / advise the company group (local / international company formation, acquisitions, board resolutions).
  • Corporate documentation review, drafting, proof reading, amendment.
  • Oversee research / development in applicable regulations & assist with the implementation of industry / corporate standards.
  • Provide broader compliance advice in relation to development of internal procedures and policies (inclusive of the company standard operating procedures).
  • Advisory role – Board presentations inclusive of company risk strategy, draft proposals and agreements.
  • Review / advise financial irregularities, aged debtors, non-payments / draft correspondence.

Requirements

  • Good knowledge of contract law (advising, negotiating and drafting clauses) and applicable legal compliance issues such as anti-bribery and data protection.
  • Commercial awareness of the business issues facing the organisation and the ability to provide common sense practical solutions.
  • The ability to learn quickly, adapt and work as a part of a team as well as lead and act autonomously.
  • High attention to detail.
  • Strong research and organisational skills.
  • The ability to keep calm in a crisis and to deal well with conflicting deadlines.
  • Familiarity with the maritime security and shipping industry (working with P&I Clubs, flag states and government regulatory bodies) beneficial.
  • Previous experience within and good understanding of the shipping industry, especially with reference to liabilities and insurance matters is desirable.
  • Excellent analytical skills.
  • Excellent verbal and written communication.
  • Exceptional IT skills (particularly MS Office).

Based in Hereford.

£ Salary commensurate with experience.
